Company Secretarial Assistant Manager

This position offers agile working, allowing you to work remotely and flex your hours. You will receive support throughout your career progression with a dedicated partner mentor to guide you, monthly 1-2-1’s and training to keep you up to date with your knowledge and skills.

The role will be UK Technical based and focus on core UK Corporate Secretarial skills. Working in a team of two, the company secretarial assistant manager will help us provide high quality company secretarial services to a growing client base of UK entities.

Professional Experience:

  • Solid technical skills in general secretarial practice and practical experience with capital reductions, share buy-backs and other more complex procedures.
  • Demonstrable experience in a similar role in a busy company secretariat department or Practice.
  • Sound knowledge of general company secretarial administration procedures and the Companies Act 2006.
  • Awareness of the recent changes brought about by the Small Business, Enterprise and Employment Bill (including PSC register).
  • Able to multi-task in busy periods and ensure that the team meets the deadlines within set time limits.
  • Experience with CCH Company Secretarial software (desirable, but not essential).

Role and Responsibilities

  • Provide advice to clients and colleagues on company secretarial matters and answer queries of a technical nature
  • Manage a portfolio of clients and contribute to the smooth running of the company secretarial department
  • Assist with client billing
  • Assist Manager with management of the department.
  • Supervise junior team member
  • Assist with maintaining the electronic statutory registers (on IRIS/CCH Company Secretarial software) for over 1,000 UK companies and Limited Liability Partnerships
  • Assist the tax department with SEIS and EIS applications.
  • Advise and prepare the required documents for signature and manage the process through to completion for:
    • Reduction of capital via solvency statement
    • Buyback of shares
    • Re-organisation of share capital (e.g. allotment, subdivision, consolidation, share buybacks, redenomination, creating new share classes
    • Transfer of shares and arranging payment of the Stamp Duty where required
    • Voluntary striking off of private companies and LLPs
    • Incorporate UK companies, LLPs and registration of UK establishments of an overseas companies
    • Change the name of companies and LLPs
    • Draft routine amendments to articles of association and the necessary resolutions and ensure timely submission to Companies House.
    • Change of accounting reference date
    • Confirmation statements
    • Dormant company accounts
    • De-register mortgages and charges at Companies House
