Could Companies House changes kill competition?

While most of the recent changes to Companies House have been relatively well received, or at least understood in terms of their utility, there is one impending change that is causing concern.

As part of a push for transparency, there is a proposal to make Profit and Loss (P&L) forms publicly accessible in a move that has many businesses expressing grave concern.

What is changing with P&L forms?

Currently, P&L forms are closely guarded secrets.

Typically, only those directly involved in the financial side of a business will have access to the P&L form.

This is not surprising given the level of detail that can be gleaned from these documents.

A P&L form provides a detailed breakdown of the income and outcome of a business in the previous financial year.

Under the new proposals, these P&L forms will be part of the Companies House submissions.

Companies House filings are public records, and there is little indication that P&L forms will be given special consideration in this process.

What will happen if P&L forms are made public?

The changes are not due to come into force until April 2027, so there is every chance that these will be abandoned.

However, it is worth understanding the impact that this will have if it does come into force.

If businesses are forced to publicly reveal their P&L forms, it could undermine their ability to be competitive.

Imagine a high street where two businesses are competing for customers.

With access to each other’s P&L forms, the businesses can see the financial strength of each other and adopt bolder strategies to shut down the competition.

If one business has more working capital, it could dramatically drop prices, wait for the other business to go insolvent, then put the prices back up once the competition has perished.

It may also make customers wary of doing business with those that they feel are handling their finances in a way that they disagree with.

It is hoped that these changes will be abandoned before they do irreversible damage to businesses.
